Raptor Capital Corporation ("Raptor") is a public oil and gas exploration and development company quoted on the NEX board of the TSX Venture Exchange under the symbol RCPH.

Raptor currently has petroleum and natural gas properties at Whiskey Creek, Wandering River, Clay, Joffre and Provost, all in Alberta. Raptor anticipates that it may participate in the drilling of one well at Whiskey Creek, Alberta in 2007; up to eight additional shallow gas wells at Wandering River in the fourth quarter of 2007 and up to ten development oil wells at Provost in 2007. The Whiskey Creek well is contingent on acquiring surface access and regulatory approval for a well license.

TURNER VALLEY: SARCEE and WHISKEY CREEK GAS FIELDS

History
The Sarcee Gas Field began production in the mid 1960’s and has produced over 180 BCF of gas and one million barrels of natural gas liquids (NGL’s) to date. Two wells came onstream in late 2002 at the Whiskey Creek Gas Field. A third well commenced production in mid-2006. The 6-8 well in which Raptor has a royalty until payout, and a participating interest, is producing at approximately 500 Mcf/d together with a small amount of liquids.


Raptor Lands

Raptor has over 1,080 gross acres of petroleum and natural gas lands within the development boundaries of the Sarcee and Whiskey Creek Gas Fields as identified by geology, geophysics and drilling activity. Raptor intends to participate in the drilling of one additional well to develop the underlying Mississippian gas reserves on Section 20 in Township 22 Range 3 West of the Fifth Meridian. The Section 20 well is directly offsetting the well drilled in Section 17 which is currently on stream and producing gas from the Mississippian formation. Raptor also anticipated participating in a well to be drilled in Section 4. This well was cancelled due to the relinquishment of the Crown mineral rights in 520 acres as Raptor and its partners were unable to fulfill the necessary offset obligations to the Government of Alberta.


Raptor Interests

Section 8: Raptor has a 1.65 % gross over-riding royalty and a 1.952% working interest (BPO) convertible to a 7.3% working interest (APO).

Section 4:
Raptor has a 24% working interest in 120 acres.

Section 20: Raptor has the following interests in Section 20:

 

  1. A 40% working interest in the southwest quarter of the section;

  2. An 8% working interest in the northwest quarter of the section.

ALBERTA SHALLOW GAS PROSPECT

In late 2005 Raptor signed an agreement to drill up to eight shallow wells to test a natural gas play at Wandering River, Alberta. Five wells were drilled in the first quarter of 2006 (Raptor earned 25% working interest BPO and 12.5% working interest APO) and three wells were drilled in the fourth quarter of 2006 (Raptor earned 33.33% BPO and 16.66% APO). Testing and completion of seven of these wells will be completed in the first quarter of 2007. Successful development of these wells could include an additional eight wells to be drilled in the fourth quarter of 2007 on 16 sections of land that Raptor (12.5% working interest) and its partners have acquired at Crown sales. It is anticipated that each section of land could contain between 0.75 and 1.5 Bcf of gas with deliverability of up to 500 Mcf/d per well for successful wells. There is also potential in the area to downsize to 320 acre spacing.

 

SHARE CAPITAL AND DEBT

The Company currently has 80,143,303 common shares issued and outstanding. The Company is indebted in the amount of $670,000.00 for a 10% Convertible Subordinated Debenture, and has $50,000 of other unsecured debt. The Debenture is convertible until January 1, 2008 at a price of $0.10 per common share.

William J. Wylie - President, CEO and Director

Mr. Wylie graduated from Brigham Young University with a Bachelor of Science degree in Economics in 1968. He has been a landman in the oil and gas industry since 1968. Most recently, 1992 to 1998, Mr. Wylie was Vice President and Director of Saxon Petroleum Inc., a public oil and gas company listed on the Toronto Stock Exchange. Since 1998, Mr. Wylie has been a land consultant to a number of small oil and gas companies in Calgary, including Raptor Capital Corporation.
  


Norman Mackenzie - Chairman and Director

Mr. Mackenzie has over 25 years experience in the domestic and international energy industry. He has a Bachelor of Arts degree from the University of Cape Town in South Africa. Senior Corporate positions include: President of Sunningdale Oils (Abu Dhabi) Ltd.; President of Scarboro Resources Limited; Chairman of Braco Resources Ltd. and co-chairman of Scimitar Hydrocarbons Corp.

Mr. Mackenzie was president of Sunningdale Oils (Abu Dhabi) Ltd. during the period 1973-1976 when Sunningdale was co-developer (12½%) of the 400 million barrel Abu Al Bakoosh Oilfield which commenced production in 1975 at over 90,000 BOPD. At the same time, Sunningdale was responsible for the initial development of the 150 Mmcf/d DUGAS LPG processing facility. Sunningdale was sold to the Kerr McGee Corporation of Oklahoma in 1976 for over $80 million.


Mr. Mackenzie has been Chairman and Director of Raptor Capital Corporation since 1997. Mr. Mackenzie's many years of broad-based experience in the industry brings an invaluable international energy perspective and investment insight.


Ian McMurtrie - Director

Mr. McMurtrie graduated from Queen's University with an Honors Bachelor of Science Degree in Geology in 1970 and has over 26 years of extensive experience in the Western Canadian Sedimentary Basin. Mr. McMurtrie has been directly involved in the exploration and development of numerous oil and gas pools in Alberta, British Columbia and Saskatchewan, for both public and private oil companies. From 1989-1997, Mr. McMurtrie concentrated the majority of his activities on behalf of United Rayore Gas Ltd. in the exploration of older oil pools in southeastern Saskatchewan where productivity was significantly increased through the utilization of horizontal drilling technology. Mr. McMurtrie was responsible for the development of over 2,000 BOPD for United Rayore. In all, Mr. McMurtrie has been involved in the drilling of over 75 horizontal wells in Western Canada and the USA.

 

Milt Erickson - Vice President, Finance and Director

Mr. Erickson graduated from the University of Saskatchewan in 1965, earning a Bachelor of Commerce Degree. Thereafter he earned his Chartered Accountant designation, having articled and commenced his public practice with Thorne Riddell. He served for six years in the capacity of Vice President of Finance for Ocelot Industries Ltd., a major oil and gas production, service and chemical company; and then as Chief Financial Officer of CMP Resources Ltd., a resource capital company administering equity management by way of tax equity issues and oil and gas drilling funds, both for domestic and foreign interests. He joined United Rayore Gas Ltd. in 1991 as the Vice President of Finance and continued in that position until early in 1997 when it was taken over by a larger Calgary based oil and gas producer.

Mr. Erickson has been Vice President, Finance for Raptor Capital Corporation since 1997. Mr. Erickson brings a valuable background in financial accounting and energy based financial management.


Kathleen E. Mackenzie, Director

Ms. Mackenzie is a businesswoman with 25 years experience in real estate development and construction in Western Canada. She was involved with the development of Gallagher's Canyon Golf Resort in Kelowna B. C. and is currently the general partner in the Dunes at Kamloops golf resort and real estate development in Kamloops, B. C. Ms. Mackenzie is a senior partner in Sawchuk Developments, a Kelowna based construction company and has significant interests in the Crystal Ridge Community development in Okotoks, Alberta; and The Quarry, a residential development in Kelowna, B. C. She has been successful in identifying exceptional golf and real estate projects, raising capital for development and providing the necessary management for successful completion.

Ms. Mackenzie has also been involved, as an investor, in many junior oil and gas ventures, both public and private. She has a keen interest in the oil and gas business in Western Canada and brings her abilities in business and finance to Raptor Capital Corporation.

The Management of Raptor has over 100 years of combined experience in all facets of oil and gas exploration and development including:


The development of exploration prospects for drilling;

The drilling of exploration and development prospects;

The production of oil prospects and the design and construction of all production facilities;

The production of natural gas prospects and the design, construction and operation of natural gas production infrastructure; and

The founding, financing, and development of public oil and gas companies including all aspects of regulatory responsibility.


Independent companies, where individuals of the Raptor Management group provided key executive roles, have developed oil and gas fields in western Canada, the United States, Abu Dhabi and Dubai, UAE, the UK and the Norwegian North Sea producing in excess of one billion barrels of oil and over one trillion cubic feet of natural gas.
